1. GENERAL PROVISIONS

1.1. This public offer for the provision of a charitable donation (hereinafter referred to as the “Offer”) constitutes an official proposal of the CHARITABLE ORGANISATION “CHARITABLE FOUNDATION ‘ASSISTANCE TO UKRAINIANS FROM EUROPE’” (hereinafter referred to as the “Foundation”), located in the city of Ternopil, Ukraine, represented by its Director, Mariana Volodymyrivna Bohonis, acting on the basis of the Charter, to enter into an agreement on the provision of a charitable donation with any legally capable natural or legal person (hereinafter referred to as the “Benefactor”).

1.2. The Offer is public in nature and shall enter into force on the date of its publication on the Foundation’s information resources (website, social networks, etc.) and shall remain in effect indefinitely.

1.3. The Foundation reserves the right to amend the Offer at any time or to revoke it. Any such amendments shall enter into force from the moment of publication of the corresponding information.

1.4. The Foundation reserves the right to conclude separate charitable donation agreements on individually negotiated terms.

2. SUBJECT MATTER OF THE AGREEMENT

2.1. The subject matter of this Agreement is the gratuitous and voluntary transfer by the Benefactor to the ownership of the Foundation of monetary funds or other property by way of making a charitable donation.

2.2. The charitable donation is made for the purpose of ensuring the statutory activities of the Foundation, and in particular for:

  • supporting the Armed Forces of Ukraine and other military formations;
  • the procurement and transfer of motor vehicles, spare parts, wheels, and technical equipment;
  • the provision of humanitarian aid (food, medication, equipment, and the like);
  • the organisation of logistics, delivery, and transfer of aid directly to combat zones;
  • the provision of support to combatants, military servicemen, veterans, wounded military personnel, and persons released from captivity;
  • the provision of assistance to the families of combatants, military servicemen, veterans, wounded military personnel, prisoners of war, persons released from captivity, the fallen, and those missing in action;
  • the provision of support to internally displaced persons, the civilian population, and socially vulnerable categories of citizens;
  • the implementation of social, psychological, and rehabilitation programmes (including retreats, consultations, and other related activities).

2.3. The Foundation may also engage in international cooperation, attract foreign donors, and organise the supply of aid from abroad, including the carrying out of customs clearance procedures.

2.4. The Benefactor shall have the right to specify the designated purpose of the donation. In the event that no such purpose is specified, or in the event that the relevant fundraising campaign has lost its actuality, the Foundation shall independently determine the direction in which the funds, donation, or other charitable assistance shall be used.

2.5. The donation or other charitable assistance shall not entail the receipt of profit by either of the Parties.

3. ACTIVITIES OF THE FOUNDATION

3.1. The Foundation was established in response to the needs that arose following the full-scale invasion of Ukraine and carries out its charitable activities on a continuous basis.
3.2. The Foundation conducts its activities in accordance with its Charter; the detailed list of the directions, objectives, and tasks of the Foundation is set forth in its Charter.

3.3. The activities of the Foundation include:

  • regular missions to military units, combat zones, frontline cities, regions of Ukraine, and abroad;
  • the direct delivery of aid to defenders;
  • the organisation of humanitarian missions and the provision of other forms of assistance;
  • cooperation with volunteers in Ukraine and abroad.

3.4. The Foundation maintains a team of volunteers, including a lawyer, an accountant, a director, and a manager, who are responsible for organisational, legal, and financial activities.

3.5. The activities of the Foundation are not aimed at the generation of profit.

4. PROCEDURE FOR MAKING A DONATION

4.1. The Benefactor shall determine the amount of the donation at his or her own discretion.

4.2. The donation shall be voluntary and non-refundable.

4.3. A donation may be made by the following means:

  • by bank transfer;
  • through payment systems;
  • by way of the transfer of property;
  • in the form of recurring payments.

5. RIGHTS AND OBLIGATIONS OF THE PARTIES

5.1. The Foundation shall be obliged to:

  • use donations in accordance with the provisions of the applicable legislation of Ukraine;
  • ensure the targeted use of funds;
  • provide information regarding its activities and comply with reporting requirements.

5.2. The Foundation shall have the right to:

  • independently determine the directions in which funds shall be used;
  • alter the designated purpose of a donation where necessary;
  • apply a portion of the funds to administrative expenses;
  • carry out customs clearance and the transfer of motor vehicles for the needs of the military.

5.3. The Benefactor shall have the right to:

  • receive information concerning the activities of the Foundation;
  • specify the designated purpose of the donation;
  • request confirmation of the targeted use of the donation.

5.4. The Benefactor hereby confirms the lawful origin of the funds and the voluntary nature of their transfer.

6. ACCEPTANCE OF THE OFFER

6.1. The making of a donation by any means shall constitute acceptance of the Offer.

6.2. The Agreement shall be deemed concluded as of the moment the funds are credited or the property is transferred.

6.3. Acceptance of the Offer shall constitute the Benefactor’s full and unconditional consent to the terms set forth herein.

7. REPORTING AND TRANSPARENCY

7.1. The Foundation shall ensure the transparency of its activities.

7.2. Reports concerning the use of charitable donations shall be published:

  • on the Foundation’s social networks;
  • on other information resources.

7.3. Additional information may be provided upon the request of the Benefactor.

8. PERSONAL DATA

8.1. The Benefactor hereby grants his or her consent to the processing of personal data.

8.2. Such data shall be used exclusively for the purposes of the Foundation’s activities.

9. RESOLUTION OF DISPUTES

9.1. Any disputes shall be resolved by way of negotiations.

9.2. In the event that a dispute cannot be resolved through negotiations, it shall be referred to the courts in accordance with the legislation of Ukraine.
